Terms and Conditions

Effective date: 9 Aug 2026 · Last updated: 26 Sep 2026

1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the websites, cloud-based software applications, subscriptions, and related services provided by Sysmorra Technologies (“Sysmorra”, “we”, “us”, or “our”).

By registering for, purchasing, accessing, or using a Sysmorra product or service, you agree to these Terms together with any product-specific, subscription, quotation, order, or commercial terms applicable to the service.

If you use Sysmorra on behalf of an organisation, you represent that you have authority to use the service on behalf of that organisation and to accept applicable terms relating to its use.

2. Sysmorra Services

Sysmorra provides cloud-based business software and related digital services.

Current products and services are described on the Sysmorra website. Sysmorra may introduce additional products, modules, integrations, and business applications as the platform evolves.

Features and functionality available to a customer depend on the selected product, subscription plan, modules, configuration, user entitlements, and applicable commercial terms.

3. Account Registration

Customers may be required to create an organisation account and one or more authorised-user accounts to access Sysmorra services.

Information provided during registration must be accurate, complete, and reasonably current.

Customers are responsible for ensuring that persons creating accounts or administering services on behalf of their organisation have appropriate authority to do so.

Sysmorra may require email, mobile, organisation, payment, or other verification where reasonably necessary.

4. Account Security

Customers and users are responsible for protecting their usernames, passwords, authentication credentials, and other account-access information.

Login credentials should not be shared with unauthorised persons.

Customers should promptly notify Sysmorra if they become aware of suspected unauthorised access, compromised credentials, or misuse of their account.

Sysmorra may temporarily restrict access where reasonably necessary to protect the customer, platform, other users, data, or service infrastructure.

5. Free Trials

Certain Sysmorra products may be offered with a free trial.

The applicable trial duration, features, usage limitations, and other conditions will be communicated through the relevant registration, product, or pricing information.

At the end of a trial period, access may expire, become restricted or read-only, or require conversion to a paid subscription.

A free trial does not guarantee continued free access or availability of the same promotional offer in the future.

6. Subscription Plans

Paid Sysmorra services may be offered through monthly, annual, or other subscription arrangements.

Features, modules, users, limits, integrations, storage, and other entitlements may differ between plans.

The plan and pricing information presented at purchase or otherwise agreed with the customer forms part of the applicable subscription arrangement.

Customers should review the applicable plan details before purchasing a subscription.

7. Pricing, Taxes and Payments

Customers agree to pay applicable subscription, implementation, or service charges according to the pricing and billing terms presented at purchase or otherwise agreed in writing.

Applicable taxes, including GST where required, may be charged in accordance with applicable law.

Customers are responsible for providing accurate billing and tax information where required.

Payments may be processed through third-party payment gateways, banks, or other authorised payment service providers.

Sysmorra generally does not directly store complete card numbers, CVV details, UPI PINs, internet banking passwords, or similar sensitive payment authentication credentials.

Further payment-related terms are described in the Sysmorra Payment Policy.

8. Subscription Renewals

Subscriptions may require renewal at the end of the applicable billing period.

Where recurring or automatic payment functionality is offered, charges will be processed only in accordance with applicable customer authorisation and payment-provider requirements.

Where automatic renewal is not enabled, customers may be required to manually complete the renewal payment.

Failure to complete renewal may result in restricted access, read-only access, suspension, or expiry according to the applicable product and subscription lifecycle.

9. Cancellation and Refunds

Customers may request cancellation in accordance with the Sysmorra Cancellation Policy.

Refund eligibility and processing are governed by the Sysmorra Refund Policy.

Cancellation does not automatically create an entitlement to a refund for an already-commenced or activated subscription.

Customers should review the applicable cancellation and refund terms before purchasing a paid subscription.

10. Service Delivery and Activation

Sysmorra's standard software products are digital/cloud services and are generally delivered electronically.

No physical goods are shipped for standard SaaS subscriptions.

Provisioning, activation, delivery, activation delays, and related matters are governed by the Sysmorra Service Delivery and Activation Policy.

11. Acceptable Use

Customers and users must use Sysmorra services lawfully and responsibly.

Users must not:

  • Use the service for unlawful or fraudulent activity

  • Attempt unauthorised access to systems, accounts, or information

  • Introduce malware, malicious code, or harmful content

  • Interfere with service availability, infrastructure, or security

  • Circumvent subscription, authentication, access, or security controls

  • Attempt to obtain access to another customer's data

  • Abuse system resources or automated functionality

  • Use the service to infringe intellectual property, privacy, or other legal rights

  • Use the service in a manner prohibited by applicable law

Sysmorra may restrict or suspend access where reasonably necessary to investigate or prevent material misuse, fraud, unlawful activity, or security threats.

12. Customer Data

Customers retain responsibility for business information, records, documents, and other data entered, uploaded, imported, or otherwise processed through their Sysmorra account.

Depending on the product, such data may include customer, supplier, traveller, booking, quotation, invoice, accounting, payment, employee, society, loan, or other business records.

Customers are responsible for ensuring that they have the necessary authority, permissions, notices, consents, and lawful basis to collect and process information through Sysmorra services.

Sysmorra may process customer data as reasonably necessary to provide, maintain, secure, support, and improve the contracted services and to comply with applicable legal requirements.

Personal information is handled in accordance with the Sysmorra Privacy Policy.

13. Data Accuracy and Business Records

Sysmorra provides software tools to help customers manage business information and workflows.

Customers remain responsible for the accuracy, completeness, classification, and lawful use of information entered into the system.

Customers should review quotations, invoices, accounting entries, tax information, payment information, reports, statutory information, and other business records before relying upon or submitting them.

14. Backups, Export and Data Retention

Sysmorra may maintain backup and recovery processes appropriate to its service infrastructure.

However, customers remain responsible for retaining copies or exports of information where necessary for legal, statutory, regulatory, accounting, operational, or business-continuity requirements.

Data export functionality and retention periods may vary according to the applicable product, plan, account status, and legal requirements.

Customers should retrieve information they are required to retain before an account is permanently closed or data becomes unavailable, where export functionality is provided.

15. Third-Party Services and Integrations

Sysmorra products may integrate with third-party services such as payment gateways, banks, email services, WhatsApp or messaging providers, APIs, maps, cloud services, or other platforms.

Third-party services are operated independently and may be subject to their own:

  • Terms and conditions

  • Privacy policies

  • Fees

  • Usage restrictions

  • Availability

  • Security procedures

  • Regulatory requirements

Sysmorra does not control independently operated third-party services and is not responsible for failures or changes originating solely within those services, except to the extent required by applicable law.

16. Communications

17. Intellectual Property

Sysmorra's software, website, interfaces, designs, documentation, branding, logos, underlying technology, and other intellectual property belong to Sysmorra or the applicable licensors.

A subscription provides the customer with a limited right to access and use the applicable services during the authorised subscription period and in accordance with these Terms.

No ownership of Sysmorra software, source code, technology, branding, or intellectual property is transferred through a subscription.

18. Restrictions

Except where expressly permitted by Sysmorra or applicable law, users must not:

  • Copy or redistribute Sysmorra software

  • Reverse engineer or attempt to derive source code

19. Product and Service Changes

Sysmorra may periodically update, improve, modify, replace, add, or discontinue functionality as its products evolve.

Changes may be required for security, legal compliance, technical compatibility, third-party integrations, platform improvement, or product development.

Where a change materially affects a paid service, Sysmorra will take reasonable steps to communicate relevant information where appropriate.

20. Service Availability and Maintenance

Sysmorra aims to provide reliable access to its services but does not guarantee uninterrupted or error-free availability.

Service may occasionally be affected by:

  • Planned or emergency maintenance

  • Software or infrastructure upgrades

  • Security requirements

  • Internet or network failures

  • Infrastructure incidents

  • Third-party service outages

  • Force majeure events

  • Circumstances outside Sysmorra's reasonable control

Where reasonably practicable, information regarding significant planned maintenance or service interruptions may be communicated through appropriate channels.

21. Suspension and Termination

Sysmorra may restrict, suspend, or terminate access where reasonably necessary because of:

  • Non-payment

  • Expiry of a subscription

  • Material breach of these Terms

  • Fraud or suspected fraudulent activity

  • Unlawful use

  • Security threats

  • Abuse of the platform

  • Attempted unauthorised access

  • Legal or regulatory requirements

Where appropriate and reasonably practicable, customers may be given notice or an opportunity to resolve the issue.

Eligible accounts may be reactivated after the relevant payment, verification, compliance, or other requirement has been completed.

22. Professional and Regulatory Responsibility

Sysmorra provides software designed to assist businesses with operational, administrative, financial, accounting, travel, and other business processes.

The software does not replace professional judgment.

Customers remain responsible for their:

  • Business decisions

  • GST and other statutory filings

  • Financial decisions

  • Regulatory obligations

  • Legal compliance

  • Accuracy of information submitted to authorities or third parties

Information, calculations, reports, workflows, or other functionality provided through Sysmorra should not be interpreted as professional legal, tax, accounting, financial, investment, or regulatory advice.

Customers should obtain appropriate professional advice where necessary.

23. Disclaimer

Sysmorra services are provided subject to the applicable subscription and these Terms.

While reasonable efforts are made to maintain accurate and reliable functionality, software may occasionally contain errors, experience interruptions, or be affected by third-party systems or information supplied by customers.

To the extent permitted by applicable law, Sysmorra does not warrant that every feature will operate without interruption or that the service will meet every customer's individual business requirement.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

24. Limitation of Liability

To the extent permitted by applicable law, Sysmorra will not be responsible for indirect, incidental, special, consequential, or similar losses arising from the use of or inability to use the service.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Any additional or different limitation agreed for an enterprise, customised implementation, or separately contracted service may be specified in the applicable written agreement.

25. Indemnity

To the extent permitted by applicable law, customers are responsible for claims, losses, or liabilities arising from their unlawful use of the service, material violation of these Terms, or infringement of third-party rights through information or content submitted by them.

26. Privacy

Use of Sysmorra services is also subject to the Sysmorra Privacy Policy, which explains how personal information is collected, used, processed, protected, retained, and disclosed.

Customers using Sysmorra to process personal information relating to their own customers, employees, suppliers, travellers, members, or other individuals remain responsible for their own privacy and data-protection obligations.

27. Changes to These Terms

Sysmorra may update these Terms from time to time to reflect changes in products, technology, business practices, security requirements, or applicable legal and regulatory requirements.

The latest version will be published on the Sysmorra website with the applicable effective or updated date.

Where appropriate, material changes may also be communicated through registered contact information or the applicable product.
